1. General

1.1 Parties

These Terms and Conditions ("Terms") govern the purchase of sailing courses offered by Oslo Seilakademi, a trading name operated by Triceps AS, a limited liability company incorporated under Norwegian law with organisation number 995 818 000 and registered address Jotunveien 2A, 1185 Oslo, Norway ("OSA", "we", "us"). The person purchasing or registering for a course is referred to as the "Participant".

1.2 Acceptance

By completing a booking and submitting payment, the Participant confirms that they have read, understood, and agree to be bound by these Terms. These Terms form a binding contract between the Participant and Triceps AS from the moment a booking confirmation is issued by OSA.

1.3 Booking Confirmation

A booking is only confirmed upon receipt of a written confirmation from OSA, typically by email, following successful payment. OSA reserves the right to decline any booking at its sole discretion — including where, in OSA's reasonable assessment, the Participant does not meet the eligibility or experience requirements for the requested course. Any payment made in respect of a declined booking will be refunded in full.

2. Eligibility and Health

2.1 Minimum Age

Participation in any OSA course requires that the Participant is:

  • aged 18 years or over at the time the course commences; or

  • aged 16 or 17, provided that a parent or legal guardian is physically present on board throughout the duration of the course and countersigns all required documentation on the Participant's behalf.

OSA reserves the right to request proof of age prior to or at the start of a course.

2.2 Medical Disclosure

Participants are solely responsible for ensuring they are in a suitable physical condition to participate in a sailing course. Prior to the commencement of any course, each Participant must disclose to OSA any medical condition, disability, allergy, or physical limitation that could affect their safety or the safety of others on board.

OSA does not provide medical advice and is not responsible for any adverse outcomes arising from an undisclosed condition. OSA reserves the right to exclude from participation any individual whose condition, in OSA's reasonable judgement, poses a risk to themselves or others.

2.3 Waiver

All Participants are required to sign a liability waiver on board the vessel before the course commences. Participation is conditional upon signing the waiver. A refusal to sign the waiver on the day of the course does not entitle the Participant to a refund beyond what would otherwise apply under the cancellation policy in Section 6.

3. Course Descriptions and Specific Conditions

3.1 Beginner Course

The Beginner Course is OSA's introductory sailing course and is open to all eligible Participants without prior sailing experience. No prerequisite qualifications are required.

The Beginner Course is subject to a minimum enrolment of three (3) Participants. If the minimum enrolment is not reached by the scheduled course start date, OSA reserves the right to cancel the course. In the event of such cancellation, Participants will receive a full refund of all amounts paid to OSA. OSA will provide as much advance notice as reasonably practicable.

3.2 Regatta Course

The Regatta Course involves participation in one or more of the following open regattas: Færderen, Hollenderen, and Skagen Race (the "Regattas"). The following conditions apply:

  • Prerequisite experience: Participation requires either a completed OSA Beginner Course or equivalent demonstrated sailing experience. Equivalent experience is subject to approval by OSA's instructors in advance of booking confirmation. OSA's assessment is final.

  • Minimum enrolment: The course requires a minimum of four (4) Participants. If this threshold is not met, Section 3.2(d) applies.

  • Regatta entry requirements: Each Regatta is governed by its own entry rules and eligibility requirements. Participants are responsible for satisfying all applicable regatta-specific requirements independently of OSA's course conditions. OSA does not warrant that any individual Participant will meet a given regatta's entry criteria.

  • Regatta fee: OSA will notify Participants of the date by which the regatta entry fee must be paid. Once the regatta fee has been paid by the Participant, the course is non-refundable, except as provided in Section 3.2(e).

  • OSA cancellation — instructor availability: If OSA is unable to provide the required instructors for the course, OSA will, at its election and in consultation with affected Participants, either (i) transfer the Participant's regatta entry to a future race in the same calendar year, or (ii) provide a full refund of all amounts paid to OSA. For the avoidance of doubt, the regatta entry fee paid directly to the regatta organiser is governed by the organiser's own terms and is not within OSA's control or responsibility.

  • Subject to availability: The Regatta Course is subject to availability in each of the named Regattas. OSA cannot guarantee placement in any specific regatta.

Note: Participants are strongly encouraged to review each regatta’s own entry rules and eligibility requirements before booking. OSA accepts no responsibility for a Participant’s failure to satisfy regatta-specific conditions.

3.3 Tailored Sailing Course

The Tailored Sailing Course is a bespoke course designed in consultation with the Participant or group. The following specific conditions apply:

  • Pricing: The Tailored Sailing Course is priced on a case-by-case basis. No fixed price list applies. A price will be agreed in writing between OSA and the Participant prior to booking confirmation. OSA is under no obligation to match prices offered for any other course or to any other customer.

  • No guaranteed learning outcome: Because each Tailored Course is unique and adapted to the needs and ability of the participants, OSA does not and cannot guarantee any specific learning outcome, skill acquisition, or qualification upon completion.

  • Cancellation: Due to the bespoke scheduling and preparation required, the standard 50% refund window described in Section 6.2(b) does not apply to Tailored Sailing Courses. Free cancellation is available up to four (4) weeks before the course start date. No refund is available for cancellations made within four weeks of the course start date. This reflects the fact that OSA will have committed instructor time and resources specifically to the Participant's course.

3.4 ICC (International Certificate of Competence) Checkout

OSA may refer Participants to a third-party provider offering the International Certificate of Competence (ICC) assessment. The following applies:

  • Third-party service: The ICC Checkout is administered and delivered entirely by an independent third party. OSA is not a party to the contract between the Participant and the third-party provider.

  • No financial intermediary: No payment for the ICC Checkout passes through Triceps AS or Oslo Seilakademi. All payments are made directly between the Participant and the third-party provider.

  • No OSA liability: OSA accepts no responsibility or liability for the conduct, quality, outcome, or any act or omission of the third-party provider. Participants undertake the ICC Checkout entirely at their own risk and subject to the third party's own terms and conditions.

  • Referral only: Any referral by OSA to a third-party ICC provider is made in good faith as a convenience to Participants and does not constitute an endorsement or warranty of the third party's services.

4. Payment

4.1 Payment Terms

Full payment is required at the time of booking, unless otherwise agreed in writing with OSA. A booking is not confirmed until payment has been received and processed.

4.2 Accepted Payment Methods

OSA accepts payment via the following methods, processed through Stripe:

  • Debit card

  • Credit card

  • Apple Pay

  • Google Pay

  • Klarna

Where a Participant uses Klarna or any other buy-now-pay-later service, OSA's obligation to hold a place on the course is triggered only upon confirmed receipt of payment from the payment processor. Any deferred payment arrangement is exclusively between the Participant and the relevant payment provider and does not affect OSA's payment terms.

4.3 Currency and Taxes

All prices are stated in Norwegian Kroner (NOK) and include applicable VAT unless otherwise stated. OSA reserves the right to correct any pricing errors.

5. Minimum Enrollment

As set out in Section 3, certain courses are subject to minimum participant numbers:

–      Beginner Course: minimum 3 Participants.

–      Regatta Course: minimum 4 Participants.

OSA will make reasonable efforts to notify affected Participants as early as possible if a course is at risk of cancellation due to insufficient enrolment. Where OSA cancels a course under this provision, Participants will receive a full refund of all amounts paid to OSA. OSA shall have no further liability to Participants in such circumstances.

6. Cancellation and Refund Policy

6.1 Cancellation by the Participant

Participants may cancel their booking by contacting OSA in writing. The following refund terms apply, calculated from the date OSA receives written notice of cancellation to the scheduled course start date:

For the Regatta Course: once the regatta entry fee has been paid, no refund applies regardless of notice period, except where OSA is unable to provide instructors — see Section 3.2.

For the Regatta Course, once the regatta entry fee has been paid, the no-refund provision applies regardless of the notice period, except as provided in Section 3.2(e).

6.2 Transfer of Booking

Participants who are unable to attend may request to transfer their place to another eligible person, subject to OSA's prior written approval. Transfer requests must be made no later than 14 days before the course start date. OSA reserves the right to decline a transfer where the replacement participant does not meet the eligibility requirements for the relevant course.

6.3 Cancellation by OSA

OSA reserves the right to cancel or reschedule any course due to insufficient enrolment, extreme weather, unavailability of instructors, force majeure, or any other circumstance beyond OSA's reasonable control. In such cases, OSA will offer the Participant either a full refund or a transfer to an equivalent future course. OSA shall have no further liability to Participants beyond the refund of amounts paid.

7. Weather and Force Majeure

7.1 Extreme Weather

Oslo Seilakademi operates on open water and is subject to prevailing weather and sea conditions. OSA's instructors and skippers retain sole discretion to assess whether conditions are safe enough to conduct or continue a course on any given day.

Where a course cannot proceed due to extreme or unsafe weather conditions, OSA will first endeavour to reschedule the course to an alternative date within the same season (April–October). Where rescheduling within the same season is not possible, OSA will offer the Participant a full refund or a credit toward a future course, at the Participant's election.

Minor weather disruptions that do not prevent the course from proceeding, or that result in programme adjustments rather than full cancellation, do not entitle the Participant to a refund.

7.2 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond that party's reasonable control, including but not limited to: acts of God, storm, flood, fire, earthquake, pandemic, epidemic, government action or restriction, war, civil unrest, terrorism, industrial action, or failure of third-party infrastructure.

OSA will notify the Participant as soon as reasonably practicable of any force majeure event affecting their course. Where a force majeure event prevents OSA from delivering a course, OSA will offer a reschedule or a full refund of amounts paid. OSA shall not be liable for any indirect, incidental, or consequential losses arising from a force majeure cancellation, including travel, accommodation, or other costs incurred by the Participant.

8. Liability and Safety

8.1 Participant Responsibility

Sailing involves inherent risks, including personal injury, illness, property damage, and exposure to adverse weather. By participating in any OSA course, Participants acknowledge and accept these risks. Participants are responsible for their own safety and must follow all instructions given by OSA's instructors and crew at all times.

8.2 Limitation of Liability

To the fullest extent permitted by applicable Norwegian law, OSA's total liability to a Participant in connection with any course shall not exceed the total amount paid by that Participant for the relevant course. OSA shall not be liable for any indirect, consequential, incidental, or special loss or damage, including but not limited to loss of income, travel costs, accommodation costs, or personal property.

Nothing in these Terms excludes or limits OSA's liability for death or personal injury caused by OSA's own negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded under Norwegian consumer law.

8.3 Personal Property

OSA accepts no responsibility for loss of or damage to any personal property brought on board by a Participant, including but not limited to clothing, electronics, and valuables.

9. Photography and Media

OSA and its instructors may take photographs and video footage during the course for documentation, safety review, and marketing purposes, including use on OSA's website and social media channels.

By participating in an OSA course, the Participant grants OSA a perpetual, royalty-free licence to use such images and footage in connection with OSA's marketing and communications. Participants who do not wish to appear in marketing materials must notify OSA in writing before the course commences. OSA will make reasonable efforts to accommodate such requests but cannot guarantee exclusion from all incidental imagery.

10. Consumer Rights

These Terms do not affect any statutory rights the Participant may have under Norwegian consumer law, including the Consumer Purchases Act (forbrukerkjøpsloven) and the Right of Withdrawal Act (angrerettloven). Where any provision of these Terms conflicts with a mandatory statutory right, the statutory right shall prevail.

Sailing courses delivered on a specific date or within a specific period are generally exempt from the standard 14-day right of withdrawal under the Right of Withdrawal Act, section 22(f). Participants are advised to review their statutory rights before booking.

For unresolved disputes, Participants may contact the Norwegian Consumer Authority (Forbrukertilsynet) or the Consumer Disputes Commission (Forbrukerklagenemda). EU residents may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Norwegian courts, with Oslo District Court (Oslo tingrett) as the court of first instance.

Notwithstanding the above, Participants who are consumers resident within the European Economic Area retain the right to bring proceedings before the courts of their country of habitual residence where this is required under applicable EU consumer law.

12. Amendments

OSA reserves the right to update or amend these Terms at any time. The version in force at the time of booking confirmation applies to that booking. Updated Terms will be published on OSA's website. Participants are encouraged to review the Terms before each booking.
